Terms of service

1. The service

Fleey is software for running a transport business: orders, shipments, dispatch, trips, fleet and driver records, proof of delivery, tracking, freight billing and related reports, through a web console, a customer portal, and the Driver and Owner apps. We may improve, change or remove features. We will not remove a feature your workspace depends on without telling you first.

2. Your workspace and accounts

• You decide who has access to your workspace and with which role, and you are responsible for what is done with the accounts you create, including drivers' accounts.
• Keep passwords and PINs secret. Tell us at once if you believe an account has been misused.
• The public demo workspace is shared by everyone who opens it and is wiped on a schedule. Do not enter real or confidential information in it.

3. Your data

The data you put into Fleey is yours. We use it only to provide the service to you, as described in the privacy policy, which is part of these terms. For personal data about your staff, drivers, customers and consignees, you are the data fiduciary under the Digital Personal Data Protection Act, 2023, and we process it on your behalf. In particular, you are responsible for:

• having a lawful basis for the personal data you enter, and telling the people concerned how it is used;
• telling your drivers, before their first trip, that the Driver app records their location while a trip is running, including in the background, and why;
• the accuracy of what you enter: rates, tax registrations, customer details and the like.

While your workspace is open, you can ask us for a copy of your data in a machine-readable format (such as CSV or JSON), and we will provide it within 30 days. Ask before closing your workspace: after it is deleted, there is nothing left to copy.

4. Acceptable use

You will not use Fleey to break the law; to track anyone who has not been told they are being tracked; to upload anything you have no right to upload; to try to reach another workspace's data; to probe, overload or disrupt the service; or to resell it without our written agreement.

5. Tax and invoices

Fleey calculates GST on freight invoices from the GSTINs and states you enter, and can produce e-way bill details. These are tools to help you. You remain responsible for your tax returns, for checking invoices before you issue them, and for meeting your obligations under GST law.

6. Availability and support

We work to keep Fleey available at all times and back it up every night, but we do not promise that it will be uninterrupted or free of errors. We may take it offline briefly for maintenance, and try to do so outside Indian business hours. The Driver app keeps working without signal and sends what it recorded when the connection returns. 7. Fees

Fees, if any, are as agreed in writing between you and us. We will give you at least 30 days' notice before introducing or changing a fee, so that you can decide whether to continue.

8. Closing a workspace, and suspension

You can close your workspace at any time from its settings. Everyone is signed out at once, and after 30 days the workspace and its data are deleted, except GST invoices, which are archived and kept as the law requires (see the privacy policy). Within those 30 days you can ask us to reopen it.

We may suspend a workspace that breaks section 4, or where the law requires it. Unless the situation is urgent, we will tell you why first and give you a chance to put it right.

9. Liability

Fleey is provided as it is. To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profit, lost business or penalties, arising from your use of Fleey. Our total liability to you under these terms is limited to the fees you paid us in the 12 months before the claim, or ₹10,000 if that is more. Nothing in these terms limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. If a change matters, we will tell you in the console at least 30 days before it takes effect. If you keep using Fleey after that, the new terms apply; if you do not accept them, you can close your workspace.

11. Law and disputes

These terms are governed by the laws of India, and disputes are subject to the jurisdiction of the competent courts in India. Before going to court, write to us at fleey@kvcodes.com; most problems are settled faster that way.
